I don't understand the transaction. Who will the controlling entity be?

It appears that Sainsbury's would be the controlling entity.

It appears that Sainsbury's would be the controlling entity.
So this is Wal Mart essentially exiting Asda?

That's what it seems, but the article doesn't actually say so.

Walmart will own 42 percent of the combined company
