I'd love to see FTC insist what HCal proposes for SpinCo, and see if Kroger would go for it. That would at least enable SpinCo to operate long enough to figure out what to do with itself. In San Diego County, where I live, Kroger would have at least 34.2% market share assuming the merger is completed with no divests. Union is an issue. The divest of a union store needs to go to someone who will continue the union. This leaves a pretty narrow slate of potential buyers. I heard a rumor somewhere once the merger goes through the company will have a new name and it won't be Kroger (or Albertsons).
